Draftand review legal documents in relation to IP and entertainment businesses, including, among others, IP acquisition agreement, license contracts, online promotion agreement and advertising agreement, assist legal department in establishing the group contract library;
Provide legal services across a wide range of legal and commercial matters to business units, including legal training, provision of advice on operational matter including the license application and renewal and assistance on dispute resolutions;
Attend in negotiations and meetings to negotiate projects or protect company’s interests with outside parties;
Work with legal fellows on all relevant legal and regulatory developments, helping establish and maintain the legal-related and regulatory system and corporate governance system within the group;
Review and identify potential legal and compliance risks and propose legally sound solutions;
Conductl egal research in relation to a wide range of legal, regulatory and compliance issues in TMT industry, track the legal and regulatory updates, and help buildup know-how pool;
Where required, instruct and supervise external counsel providing advice or services in connection with the above;
Report directly to legal department.
Academic and Professional Qualifications
Strong academic record, LLB or above degree in Chinese laws is required, National Bar certificate is a must. Overseas background and Foreign Bar certificate, esp. US Bar will be highly preferred;
2-4 years of related practice experience acquired in a reputable Chinese/International law firm and/or legal department of a TMT corporation;
General corporate experience are necessary while knowledge of IP and entertainment industries is strongly preferred;
Self-motivated,result-oriented and hard working;
Superior analytical and problem solving skills and attention to detail;
Excellent organizational skills with the ability to handle several projects simultaneously and independently, meet tight deadlines, and work in a fastpaced environment;
Excellentc ommunication skills both in English and Chinese, able to summarize and communicate complex legal concepts to the business concisely;
An excellent team player and strong business ethics.
Responsibility for all business and legal affairs issues
(a) Analyze, structure and negotiate individual development, production and acquisition investment proposals.
(b) Analyze, structure and negotiate individual rights acquisition, talent and production deals.
(c) Drafting and negotiating related correspondence, deal memos and commitmentletters.
(d)Contributing business affairs support to local territory strategic and business development activities, including business planning and equity investment opportunities and the establishment of key producer and
(a) Drafting, negotiating and reviewing co-production, finance and distribution agreements including; development agreements, co-production agreements, bankguarantees, sales agency, pre-sales, sub-licences, distribution/licence agreements.
(b) Drafting, negotiating and reviewing production agreements including; literary options, writers, performers, crew, heads of dept., VFX, locations, studiohire, insurance, musicians, composers.
(c) Drafting, negotiating and reviewing co-production agreements in accordance with the terms of official Co-Production Treaties and CFCC and other PRC requirements.
(d) Managing and/or reviewing all film registration and subsidy applications to public authorities.
(e) Managing the gathering and auditing of chain of title and other key documentation provided by producers.
(f) Managing all contract and rights administration necessary to ensure the relevant management team receive all required information about projects.
(g) ? Produce and/or update and maintain key model agreements.
(h) Monitoring and updating management team on all relevant legal and regulatory developments.
(i) Where required, instructing and supervising external counsel providing adviceor services in connection with the above.
Allof the above being undertaken under the varying laws and regulations of the PRC, and occasionally other, jurisdictions with communication and documentation being undertaken in Mandarin and English. Fluency in both languages is a must.?
-8 years of practicing experience from noted law firm or peer media andentertainment company;
-Possess LLB degree from an accredited law school, further LLM or JD degrees will be aplus;
-Strong academic record;
-PRC Bar holder, overseas qualification will be a plus;
-Candidates should possess superior analytical and problem-solving skills and legal writing abilities;
